1. Acceptance of Terms

By accessing or using NexaLink ("the Service"), operated by Mendios Technologies (webMOBI), you agree to be bound by these Terms and Conditions ("Terms"). The Service includes the NexaLink Card, NexaLink Scanner, and NexaLink CRM mobile applications, and the website at nexalink.co. If you do not agree, do not use the Service.

2. Description of Service

NexaLink is a personal networking platform consisting of three integrated applications:

  • NexaLink Card: Create and share digital business cards via QR code, NFC, or link. Track card views and engagement.
  • NexaLink Scanner: Scan paper business cards using AI-powered OCR to extract contact information. Supports 30+ languages.
  • NexaLink CRM: A personal CRM for managing contacts, tracking interactions, capturing event context, connecting Gmail, and sending AI-powered follow-up messages.

3. Account Registration

To use certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your account credentials
  • Notify us immediately of unauthorized access
  • Accept responsibility for all activity under your account

You may sign in using a one-time passcode (OTP) sent to your email address, Apple Sign-In, or Google Sign-In. NexaLink does not use password-based authentication. Some features (like Gmail integration) require additional authentication with Google.

4. Subscription Plans and Payments

4.1 Free Plan

A free tier is available with limited features. Free plan limits vary by app (e.g., 25 AI messages/month, 10 scans/month, 1 digital card).

4.2 Paid Plans

Paid subscriptions (Pro, Business, and Bundle plans) are available via in-app purchase through the Apple App Store or Google Play Store. Prices are displayed in the app and on our website.

  • Subscriptions auto-renew unless cancelled at least 24 hours before the renewal date
  • Payment is charged to your Apple ID or Google Play account
  • You can manage or cancel subscriptions through your device's app store settings
  • Refunds are handled by Apple or Google per their refund policies
  • We do not process payments directly — all billing is handled by the app stores

4.3 Promotional Pricing

We may offer promotional or launch pricing. If you subscribe during a promotional period, your rate is locked for as long as your subscription remains active. Standard rates apply to new subscriptions after the promotion ends.

4.4 AI Message Limits

AI-powered features (follow-up drafting, chat assistant, meeting prep) consume "AI messages" from your monthly allocation. Unused messages do not roll over. Limits vary by plan.

5. Gmail Integration

The CRM app offers optional Gmail integration. When you connect Gmail:

  • We read email metadata (sender, recipient, subject, date) to discover contacts — we never read email body content
  • We send follow-up emails on your behalf only when you explicitly tap "Send"
  • No emails are sent automatically or without your review
  • You can disconnect Gmail at any time from Settings
  • Gmail data access complies with Google's Limited Use Requirements

6. AI-Generated Content

Our Service uses AI (Google Gemini and OpenAI) to generate follow-up messages, extract text from business cards, and provide chat assistance. You acknowledge that:

  • AI-generated content is a draft suggestion — you are responsible for reviewing and approving all content before sending
  • We do not guarantee the accuracy, appropriateness, or completeness of AI-generated content
  • You should not rely on AI-generated content for legal, medical, or financial advice
  • Business card OCR may contain errors — always review extracted data before saving

7. User Conduct

You agree NOT to:

  • Use the Service for spam, unsolicited messaging, or harassment
  • Upload illegal, harmful, or offensive content
  • Attempt to access other users' data
  • Reverse engineer, decompile, or modify the Service
  • Use automated scripts or bots to access the Service
  • Exceed rate limits or abuse AI features
  • Impersonate another person or entity
  • Use the Service to send bulk marketing emails via Gmail integration
  • Upload contact data for the purpose of spamming or unsolicited bulk communications
  • Use the scanning feature to collect personal data without a legitimate professional purpose

7.1 Follow-up Messages

Follow-up messages you send via NexaLink are your responsibility. NexaLink provides AI-generated suggestions, but you review and approve all messages before they are sent. NexaLink is not responsible for the content of messages you choose to send via Gmail or other channels.

7.2 Card Agent (AI Chatbot on Card Pages)

Your digital business card may include an AI-powered chat assistant ("Card Agent") that responds to visitor questions based on information you have provided (card details, knowledge base entries). You acknowledge that:

  • You are responsible for the accuracy and appropriateness of information in your knowledge base that the Card Agent uses to generate responses.
  • AI-generated responses may contain inaccuracies. You should review your Card Agent's knowledge base periodically.
  • Visitor data (email addresses, chat messages) collected through your Card Agent is stored in your NexaLink account. You are responsible for handling this data in compliance with applicable privacy laws.
  • You must not configure your Card Agent to collect sensitive personal data (health, financial, political, biometric data) from visitors.
  • NexaLink is not responsible for how you use lead data collected through the Card Agent.
  • We may suspend your Card Agent if it is used to collect data deceptively or in violation of applicable law.

7.3 Visitor Terms for Card Pages

If you are visiting a NexaLink card page (as a non-registered user):

  • Viewing a card page does not require an account or personal information.
  • If you interact with the Card Agent and provide your email address, your email, name, and chat messages will be stored and shared with the card owner.
  • If you request a vCard, your email address will be used solely to deliver the contact file and will be stored as a lead for the card owner.
  • By providing your email address through the Card Agent, you consent to receiving a single email containing the requested vCard file. We will not add you to any mailing list or send you further communications unless you separately create a NexaLink account.
  • Anonymous card page views are tracked for analytics purposes (view count, device type, referrer) but do not identify you personally.

7.4 Your Responsibilities as a Data Controller

When you use NexaLink to collect and manage contact data (via card scanning, CRM, Card Agent, or Gmail integration), you may be considered a data controller under applicable privacy laws (such as GDPR or DPDP Act) for the personal data of your contacts and card page visitors. You agree that:

  • You will only collect and process contact data for legitimate professional networking purposes.
  • You are responsible for having a lawful basis to store and process your contacts' personal data.
  • You will honor requests from your contacts to access, correct, or delete their data from your CRM.
  • You will not use NexaLink to process personal data in violation of applicable data protection laws.
  • NexaLink acts as a data processor on your behalf for contact data you store in the Service. Our data processing obligations are described in our Privacy Policy.

7.5 Data Portability

You can export your contacts and interaction history at any time via the app's export feature (available on Pro plans and above). Your data belongs to you.

8. Intellectual Property

  • The Service, including all code, design, content, and branding, is owned by Mendios Technologies (webMOBI)
  • You retain ownership of content you create (cards, contacts, notes, voice recordings)
  • You grant us a limited license to process your content as needed to provide the Service
  • AI-generated content based on your data is considered your content

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data.

9.1 California Privacy Rights

As described in our Privacy Policy, we do not sell your personal information as defined under the California Consumer Privacy Act (CCPA/CPRA). We do not share your personal information for cross-context behavioral advertising. 10. Data and Account Deletion

  • You can delete your account at any time from the app's Settings screen
  • Account deletion permanently removes all your data within 30 days
  • Active subscriptions must be cancelled separately through your app store
  • We cannot recover deleted data

11. Limitation of Liability

To the maximum extent permitted by law, Mendios Technologies (webMOBI) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business opportunities, arising from your use of the Service.

Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or completely secure. AI features may produce inaccurate results. OCR may misread business cards. Gmail integration depends on Google's API availability.

12.1 Third-Party Service Dependencies

The Service relies on third-party services including but not limited to: Google Gemini and OpenAI (AI features), Google Gmail API (email integration), Apple App Store and Google Play Store (subscriptions and payments), Supabase (database and authentication), AWS SES (email delivery), and Expo (push notifications). We are not responsible for outages, changes, or discontinuation of these third-party services. If a critical third-party service becomes unavailable, affected features of the Service may be temporarily or permanently unavailable, and we will make reasonable efforts to find alternatives or notify you of any material impact.

13. Indemnification

You agree to indemnify and hold harmless Mendios Technologies (webMOBI) from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

14. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms, abuse of the Service, or non-payment. Upon termination, your right to use the Service ceases immediately. You may terminate your account at any time by deleting it from Settings.

15. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification. Continued use after changes constitutes acceptance. If you disagree with updated Terms, please stop using the Service.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.

16.2 Informal Resolution

Before filing any formal dispute, you agree to first contact us at legal@nexalink.co and attempt to resolve the dispute informally for at least 30 days.

16.3 Binding Arbitration

If informal resolution fails, any dispute arising from these Terms or the Service shall be resolved through binding arbitration administered by JAMS under its Streamlined Arbitration Rules, conducted in Santa Clara County, California. The arbitrator's decision shall be final and binding.

16.4 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If this waiver is found unenforceable, the entirety of this arbitration provision shall be void.

16.5 Small Claims Exception

Either party may bring an individual action in small claims court in Santa Clara County, California, for disputes within the court's jurisdictional amount.

16.6 EU Users

If you are a consumer in the European Economic Area, nothing in this Section overrides mandatory consumer protection laws in your country of residence. You may also use the EU Online Dispute Resolution platform at ec.europa.eu/odr.

17. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms if such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, pandemics, government actions, power failures, internet or telecommunications failures, third-party service outages (including Apple App Store, Google Play Store, Supabase, AWS, or AI service providers), cyberattacks, or labor disputes. During such events, our obligations are suspended for the duration of the force majeure event.

18. Severability

If any provision of these Terms is found unenforceable, the remaining provisions continue in full force and effect.
